4. Client Obligations

5. Fees and Payment

• Charges: Fees for Services will be outlined in the Statement of Work.
• Payment Terms: Invoices are payable within 30 days of receipt unless otherwise agreed in writing.
• Late Payments: Late payments may incur interest at a rate of 1.5% per month or the highest rate permitted by law, whichever is lower.

6. Intellectual Property Rights

All intellectual property rights in any materials or services provided by Reach Out shall remain the property of Reach Out or its licensors. The Client is granted a non-exclusive, non-transferable license to use such materials solely for their internal business purposes.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information received from the other party. This obligation shall survive the termination of this Agreement.

8. Data Protection

Reach Out will process any personal data in accordance with applicable data protection laws. The Client warrants that they have the legal right to disclose any personal data provided to Reach Out.

9. Warranties and Disclaimers

Reach Out warrants that the Services will be performed with reasonable skill and care. Except as expressly provided in this Agreement, all warranties, conditions, or other terms implied by statute or common law are excluded to the fullest extent permitted by law.

10. Limitation of Liability

To the maximum extent permitted by law, Reach Out shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the Services. Our total liability under this Agreement shall not exceed the total fees paid by the Client for the Services.

11. Termination

Either party may terminate this Agreement by giving 30 days’ written notice to the other party. In the event of termination, the Client shall pay for all Services rendered up to the date of termination.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of India.

13. Changes to Terms

Reach Out reserves the right to modify these Terms and Conditions at any time. Any changes will be posted on our website, and continued use of the Services constitutes acceptance of the revised terms.
